St. Clair Holding, ULC and St. Clair Solar, LP are special-purpose entities (SPEs) and co-Issuers of the Notes. St. Clair Solar, LP owns the Project limited partnerships (LPs), which are SPEs created to operate and maintain the two 20-MW photovoltaic (PV) solar sites under four 10-MW, 20-year PPAs with the IESO.
