Melancthon Wolfe Wind LP

Melancthon Wolfe Wind LP (the Issuer) was established to own and operate a portfolio of three wind farms with a total capacity of 397.3 megawatts in Ontario. The three facilities sell all electricity generated under three 20-year inflation-adjusted fixed-price power purchase agreements to the Independent Electricity System Operator. The Issuer is indirectly and wholly owned by Canadian Hydro Developers, Inc., which is in turn indirectly owned by TransAlta Corporation. The Issuer is a bankruptcy-remote special-purpose entity with a substantive non-consolidation legal opinion provided on financial close.
