DBRS Rates ASG Resecuritization Trust 2009-5, REMIC Notes, Series 2009-5

DBRS has today assigned the following ratings to the REMIC Notes, Series 2009-5, issued by ASG Resecuritization Trust 2009-5 (the Trust):

-- $8.7 million Class G30* rated at AAA
-- $1.6 million Class G35* rated at AAA
-- $1.6 million Class G40* rated at AAA
-- $1.6 million Class G45* rated at AA
-- $1.6 million Class G50* rated at A
-- $8.7 million Class A30# rated at AAA
-- $10.3 million Class A35# rated at AAA
-- $11.8 million Class A40# rated at AAA
-- $13.4 million Class A45# rated at AA
-- $15.0 million Class A50# rated at A

The AAA ratings on the Class G30 through Class G40 Notes, the “AA” ratings on Class G45 and the “A” rating on Class G50 (collectively, the Notes) reflect the credit enhancement provided by subordination. The ratings also reflect the quality of the underlying asset, which is a senior residential mortgage pass-through certificate RFMSI Series 2007-SA1, Class II-A-1. The Class G30 through Class G50 Notes (Exchangeable Notes) are exchangeable for certain other classes of Exchanged Notes and vice versa, in the combinations described in Schedule A of the offering memorandum.

Except for the ones noted above, DBRS does not rate any other notes in this trust.

Interest and principal payments on the Notes will generally be made on the 28th day of each month commencing in January 2010. Interest payments will be distributed on a pro rata basis to the Notes. Principal will be distributed on a sequential basis to the Notes, in numerical order, until the principal balances thereof are reduced to zero.

Any losses realized from the underlying assets will be allocated in a reverse numerical order to the Notes.

The Trust is a resecuritization of a senior residential mortgage pass-through certificate RFMSI Series 2007-SA1 Class II-A-1, which is backed by a pool of primarily Prime adjustable-rate mortgages secured by first liens on one-to-four family properties.
