DBRS Morningstar Confirms Rating on the Class A2 Notes Issued by Voba N. 5 S.r.l.

DBRS Ratings GmbH (DBRS Morningstar) confirmed its AAA (sf) rating on the Class A2 Notes issued by Voba N.5 S.r.l. (the Issuer).

The rating addresses the timely payment of interest and the ultimate payment of principal by the final maturity date in June 2051.

The confirmation follows an annual review of the transaction and is based on the following analytical considerations:

-- Portfolio performance, in terms of delinquencies, defaults, and losses as of the September 2020 payment date (and November 2020 portfolio cut-off);
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the Class A2 Notes to cover the expected losses at the AAA (sf) rating level.
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

Voba N.5 S.r.l. is a securitisation of first-lien, prime, residential Italian mortgage loans originated and serviced by Banca Popolare dell’Alto Adige S.p.A. – Volksbank (BPAA). Banca Finanziaria Internazionale S.p.A. acts as the backup servicer in the transaction. The special-purpose vehicle issued the Class A1, Class A2, and Class J Notes in April 2014 to finance the purchase of the mortgage portfolio and fund the cash reserve. The Class A1 Notes were fully redeemed in June 2017.

The servicing agreement was amended twice, in May 2017 and May 2020, with the general purpose of granting more flexibility to BPAA in managing the collateral portfolio, with respect to interest rate renegotiations. Please refer to https://www.dbrsmorningstar.com/ for additional information.

PORTFOLIO PERFORMANCE

As of the November 2020 cut-off, delinquencies were low, with loans two to three months in arrears representing 0.1% of the outstanding portfolio balance, stable from the November 2019 cut-off. The 90+ delinquency ratio was 0.1%, slightly down from 0.5% at the November 2019 cut-off. The gross cumulative default ratio was 1.0% of the initial portfolio balance, up from 0.9% last year. Despite arrears being low, a portion of the mortgage portfolio is currently in payment holidays, as further detailed in the following paragraphs.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS

DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions to 3.0% and 0.7%, respectively.

CREDIT ENHANCEMENT

Overcollateralisation of the outstanding collateral portfolio provides credit enhancement to the rated notes. As of the September 2020 payment date, credit enhancement to the Class A2 Notes was 67.0%, showing a notable increase since the latest annual review of the transaction in January 2020 (when the credit enhancement to the Class A2 Notes was 57.7%, as of the December 2019 payment date).

The transaction benefits from an amortising cash reserve, available to cover shortfalls on senior fees, expenses, and interest payments on the Class A2 Notes. As of the September 2020 payment date, the cash reserve was equal to its target level of EUR 1,668,538. The reserve is floored at EUR 1,000,000.

BNP Paribas Securities Services, Milan Branch acts as the account bank for the transaction. Based on the private rating of the account bank, the downgrade provisions outlined in the transaction documents, and structural mitigants inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A2 Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may increase in the coming months for many RMBS transactions, some meaningfully. The rating is based on additional analysis and adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus.

For this transaction, DBRS Morningstar increased the expected default rate for self-employed borrowers and assumed a moderate decline in residential property prices. In addition, DBRS Morningstar conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand high levels of payment holidays in the portfolio. As of the November 2020 cut-off, around 19.5% of the current portfolio balance benefitted from a coronavirus-related payment moratorium.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.

-- The base case PD and LGD of the current pool of loans for the Issuer are 3.0% and 0.7%, respectively.

-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A2 Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A2 Notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A2 Notes would be expected to remain at AAA (sf).
