DBRS Morningstar Confirms Ratings on Mulcair Securities DAC
RMBSDBRS Ratings GmbH (DBRS Morningstar) confirmed its ratings of the notes issued by Mulcair Securities DAC (the Issuer) as follows:
-- Class A at AAA (sf)
-- Class B at AA (low) (sf)
-- Class C at A (low) (sf)
-- Class D at BBB (sf)
-- Class E at BBB (low) (sf)
The rating of the Class A notes addresses the timely payment of interest and the ultimate payment of principal by the final legal maturity date in November 2071. The rating of the Class B notes addresses the ultimate payment of interest and principal, and the timely payment of interest while the senior-most class outstanding. The ratings of the Class C, Class D, and Class E notes address the ultimate payment of interest and principal.
The confirmations follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the October 2021 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels; and
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.
The Issuer is a securitisation of reperforming Irish buy-to-let mortgages originated by The Governor and Company of the Bank of Ireland (Bank of Ireland), ICS Building Society, and Bank of Ireland Mortgage Bank (BOIMB). The portfolio is serviced by Bank of Ireland.
PORTFOLIO PERFORMANCE
As of the October 2021 payment date, loans two to three months in arrears represented 0.4% of the outstanding portfolio balance, down from 2.0% in October 2020. Loans more than three months in arrears represented 5.1% of the outstanding portfolio balance, up from 5.0% in October 2020. Cumulative principal losses represented 0.1% of the original portfolio balance.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions to 17.7% and 23.1%, respectively.
CREDIT ENHANCEMENT
As of the October 2021 payment date, credit enhancement to the Class A, Class B, Class C, Class D, and Class E notes was 51.0%, 39.2%, 29.3%, 22.6% and 17.4%, respectively, up from 45.7%, 35.0%, 26.0%, 20.0%, and 15.3% in October 2020. Credit enhancement consists of overcollateralisation and subordination of the junior notes. The general reserve fund also provides credit support to the Class B to Class E notes via the principal deficiency ledgers (PDLs).
The transaction benefits from a senior reserve fund that covers any shortfall to pay senior fees and interest on the Class A notes. It is currently at its target level of EUR 2.9 million, equal to 2% of the outstanding Class A notes’ balance. The transaction also benefits from a general reserve fund that covers interest shortfall on the Class B to E notes, as well as principal losses via the PDLs on the Class B to Class E notes. It is currently at its target level of EUR 2.0 million, equal to 2% of the outstanding balance of the aggregate Class B to Class E notes.
The Bank of New York Mellon, London Branch (BNY Mellon London) acts as the account bank for the transaction. Based on DBRS Morningstar’s public rating on BNY Mellon London at AA (high), the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
HSBC Bank plc acts as the interest rate cap provider for the transaction. DBRS Morningstar's private rating on HSBC Bank plc is consistent with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
DBRS Morningstar analysed the transaction structure in Intex DealMaker.
The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an immediate economic contraction, leading in some cases to increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many RMBS transactions. The ratings are based on additional analysis to expected performance as a result of the global efforts to contain the spread of the coronavirus.

The last rating action on this transaction took place on 18 December 2020, when DBRS Morningstar confirmed its ratings of the Class A and Class E notes at AAA (sf) and BBB (low) (sf), respectively; downgraded its ratings of the Class B, Class C, and Class D notes to AA (low) (sf), A (low) (sf), and BBB (sf), respectively, from AA (sf), A (high) (sf), and BBB (high) (sf), respectively; and removed the Under Review with Negative Implications status on the Class B, Class C, Class D, and Class E notes.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 17.7% and 23.1%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A notes would be expected to fall to AA (sf).
