DBRS Morningstar Assigns AAA Rating to Banco Sabadell S.A. Mortgage Covered Bond New Issuance
Covered BondsDBRS Ratings GmbH (DBRS Morningstar) assigned a AAA rating to a new series of covered bonds issued by Banco Sabadell, S.A. (Banco Sabadell or the Issuer) under the Banco Sabadell Covered Bonds (Cédulas Hipotecarias or CH) programme (the Programme). The new CH (Cedulas Hipotecarias - ES0413860802) comprises the issuance of EUR 1,000 million of fixed-rate securities with a 1.75% annual coupon, maturing on 30 May 2029.
At the same time, DBRS Morningstar discontinued its ratings on CH ES0413860257, which matured on 13 July 2021; CH ES0413860398 and Tap ES0413860398, which matured on 12 November 2021; CH ES0413860356, which matured on 9 December 2021; CH ES0413860265, which matured on 12 December 2021; and CH ES0413860570, which matured on 21 December 2021.
The rating reflects the following analytical considerations:
-- A Covered Bonds Attachment Point (CBAP) of A (high), which is Banco Sabadell’s Long Term Critical Obligations Rating. Banco Sabadell is the Issuer and Reference Entity for the Programme.
-- A Legal and Structuring Framework (LSF) assessment of “Average” associated with the Programme.
-- A Cover Pool Credit Assessment (CPCA) of AA (low), which is the lowest CPCA in line with the LSF-implied likelihood (LSF-L).
-- An LSF-L of AA.
-- A two-notch uplift for high recovery prospects.
-- A level of overcollateralisation (OC) of 83% to which DBRS Morningstar gives credit, which is the minimum observed OC level during the past 12 months adjusted by a scaling factor of 0.85.
-- The sovereign rating of the Kingdom of Spain, rated “A” with a Stable trend by DBRS Morningstar, as of the date of this press release.
DBRS Morningstar analysed the transaction with its European Covered Bonds Cash Flow tool. The main assumptions focused on the timing of defaults and recoveries of the assets, interest rate stresses, and market value spreads to calculate liquidation values on the cover pool (CP).
Everything else equal, a one-notch downgrade of the CBAP would lead to a one-notch downgrade of the LSF-L, resulting in a one-notch downgrade of the covered bonds rating. In addition, everything else unchanged, DBRS Morningstar would downgrade the CH ratings if any of the following occurred: (1) the CPCA was downgraded below AA (low); (2) the sovereign rating on the Kingdom of Spain was downgraded below A (low); (3) the LSF assessment associated with the Programme was downgraded; (4) the quality of the CP and the level of OC were no longer sufficient to support a two-notch uplift for high recovery prospects; (5) the relative amortisation profile of the CH and CP moved adversely; or (6) volatility in the financial markets caused the currently estimated market value spreads to increase.
There are currently EUR 15.9 billion of CH outstanding under the Programme, of which DBRS Morningstar publicly rates EUR 5.2 billion. As of 31 March 2022, the aggregate balance of mortgages in the CP was EUR 43.25 billion, which would result in a total estimated OC of 171.4% after this issuance. The eligible CP stood at EUR 34.63 billion, resulting in an estimated eligible OC of 117.3%.
