DBRS Morningstar Upgrades and Confirms Ratings on Alba 11 SPV S.r.l.

DBRS Ratings GmbH (DBRS Morningstar) took the following rating actions on the bonds issued by Alba 11 SPV S.r.l. (the Issuer):

-- Class A1 Notes confirmed at AAA (sf)
-- Class A2 Notes confirmed at AAA (sf)
-- Class B Notes upgraded to AA (high) (sf) from AA (sf)
-- Class C Notes upgraded to A (high) (sf) from BBB (sf)

The ratings on the Class A1 and Class A2 Notes address the timely payment of interest and the ultimate payment of principal by the final maturity date. The ratings on the Class B and Class C Notes address the ultimate payment of interest and principal by the final maturity date in accordance with the Issuer’s default definition provided in the transaction documents (i.e., the timely payment of interest only when they become the most-senior tranche).

The rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the March 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels; and
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

The transaction is a securitisation of financial lease receivables granted by Alba Leasing S.p.A. (Alba Leasing) to corporates, small businesses, and individual enterprises with registered offices in Italy. Financial leases typically provide an option for the lessee to acquire the asset upon payment of the last instalment (which incorporates the assets’ residual value). In this transaction, the securitised receivables do not include the residual value. Alba Leasing also services the collateral portfolio, with Banca Finanziaria Internazionale S.p.A. (Banca Finint) appointed as backup servicer.

The Class A1 and Class A2 Notes rank pro rata and pari passu with respect to interest payments. However, in a pre-enforcement scenario, principal payments on the Class A2 Notes are subordinated to principal payments on the Class A1 Notes. In a post-enforcement scenario, the Class A1 and Class A2 Notes rank pro rata and pari passu with respect to both interest and principal payments. There are performance-based interest subordination events on the Class B and Class C Notes that, if breached, would defer interest payments in the priority of payments.

PORTFOLIO PERFORMANCE
As of the February 2022 cut-off date, the 90+-day delinquency ratio was 0.0%, but 0.3% of the leases were two- to three-month in arrear, up from 0.0% in February 2021. The gross cumulative default ratio was 1.1%, up from 0.4% in February 2021.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case annualised PD assumptions. Particularly, DBRS Morningstar assumed an annualised PD of 2.4% for vehicles and equipment leases; 1.5% for real estate leases; and 10.1% for air, naval, and train leases. DBRS Morningstar applied additional adjustments in the context of the current coronavirus pandemic. DBRS Morningstar applied these adjustments to borrowers in certain industry sectors. DBRS Morningstar maintained the base case lifetime LGD at 57.0%.

CREDIT ENHANCEMENT
Overcollateralisation of the outstanding collateral portfolio provides credit enhancement. As of the March 2022 payment date, credit enhancement to the Class A1, Class A2, Class B, and Class C Notes was 82.4%, 49.6%, 33.8%, and 19.5%, respectively, up from 65.3%, 39.2%, 26.7%, and 15.3%, respectively, at March 2021 payment date.

The transaction structure benefits from an amortising cash reserve, which provides liquidity support and is available to cover shortfalls on senior fees, expenses, and interest payments on the rated notes (with respect to the Class B and Class C Notes, only if the related subordination event has not occurred). The reserve is currently at its target level of EUR 9.4 million, or 1.2% of the rated notes outstanding balance, and has a floor equal to 0.5% of the rated notes initial balance.

Citibank N.A./Milan Branch acts as the account bank for the transaction. Based on DBRS Morningstar’s private rating on the account bank, the downgrade provisions outlined in the transaction documents, and structural mitigants inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an immediate economic contraction, leading in some cases to increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many financial lease receivable transactions, some meaningfully. The ratings are based on additional analysis and, where appropriate, adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus.

For this transaction, DBRS Morningstar increased the expected default rate granted to obligors operating in certain industries based on their perceived exposure to the adverse disruptions of the coronavirus. As per DBRS Morningstar’s assessment, 9.3% of the outstanding portfolio balance belonged to industries classified in high-risk economic sectors, which leads to the underlying one-year PDs to be multiplied by 1.5 times (x), as per the commentary mentioned below. In addition, DBRS Morningstar conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand potentially high levels of payment holidays in the portfolio.

The last rating action on this transaction took place on 25 June 2021, when DBRS Morningstar confirmed its AAA (sf) ratings on the Class A1 and Class A2 Notes and upgraded its ratings on the Class B and Class C Notes to AA (sf), and BBB (sf), respectively, from AA (low) (sf), and BB (high) (sf), respectively.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 9.0% and 57%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. Taking the Class A1 Notes as example, if the LGD increases by 50%, the rating of the Class A1 Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A1 Notes would be expected remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A1 Notes would be expected to remain at AAA (sf).
