DBRS Morningstar Confirms Rating on Silver Arrow S.A., acting in respect of its Compartment 12
AutoDBRS Ratings GmbH (DBRS Morningstar) confirmed its AAA (sf) rating on the Class A notes issued by Silver Arrow S.A., acting in respect of its Compartment 12 (the Issuer).
The rating on the Class A notes addresses the timely payment of interest and ultimate payment of principal on or before the legal final maturity date in September 2027.
The confirmation follows an annual review of the transaction and is based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the October 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables; and
-- Current available credit enhancement to the notes to cover the expected losses at the AAA (sf) rating level.
The transaction represents the issuance of Class A and Class B notes backed by receivables related to auto loan contracts granted by Mercedes-Benz Bank AG to private and commercial borrowers in the Federal Republic of Germany.
PORTFOLIO PERFORMANCE
As of the October 2022 payment date, two to three month arrears represented 0.1% of the outstanding portfolio balance, up from 0.0% in October 2021; the 90+-day delinquency ratio was 0.1%, up from 0.0% in October 2021; and the cumulative default ratio was 0.4%.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions to 4.4% and 32.6%, respectively. DBRS Morningstar applied conservative assumptions in determining its base case PD due to insufficient information on the balloon exposure in the portfolio outstanding balance.
CREDIT ENHANCEMENT
As of the October 2022 payment date, credit enhancement to the Class A notes was 19.1%, up from 11.6% at the last annual review. Credit enhancement is provided by overcollateralisation.
The transaction benefits from a general reserve fund of EUR 3.8 million, initially funded from the proceeds of a subordinated loan provided by the seller. The general reserve can cover senior fees, net swap payments, and interest on the Class A notes and is currently funded to its target amount.
Elavon Financial Services DAC (Elavon) acts as the account bank for the transaction. Based on DBRS Morningstar’s private rating on Elavon, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
DZ BANK AG Deutsche Zentral-Genossenschaftsbank (DZ Bank) acts as the swap counterparty for the transaction. DBRS Morningstar's Long Term Critical Obligations Rating on DZ Bank, currently AA, is above the first rating threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant impact on the credit analysis.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer at the B (sf) rating level are 4.4% and 32.6%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating on the Class A notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating on the Class A notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating on the Class A notes would be expected to fall to AA (high) (sf).
