DBRS Morningstar Confirms Rating on Golden Bar (Securitisation) S.r.l. - Series 2018-1
Consumer Loans & Credit CardsDBRS Ratings GmbH (DBRS Morningstar) confirmed its AAA (sf) rating on the Class A Notes issued by Golden Bar (Securitisation) S.r.l. - Series 2018-1 (the Issuer).
The rating on the Class A Notes addresses the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in March 2037.
The confirmation follows an annual review of the transaction and is based on the following analytical considerations:
-- The portfolio performance, in terms of delinquencies and defaults, as of the December 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables; and
-- Current available credit enhancement to the Class A Notes to cover the expected losses at the AAA (sf) rating level.
The transaction is a securitisation of Italian consumer loan receivables originated and serviced by Santander Consumer Bank S.p.A. The transaction follows the standard structure under Italian securitisation law and closed in April 2018. The transaction included an initial 26-month revolving period, which ended in June 2020.
PORTFOLIO PERFORMANCE
As of the December 2022 payment date, loans that were one to two months and two to three months in arrears each represented 0.1% of the outstanding collateral balance, while loans more than three months in arrears represented 0.2%. Gross cumulative defaults amounted to 1.3% of the original portfolio balance, with cumulative recoveries of 33.0% to date.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions to 3.9% and 82.6%, respectively.
CREDIT ENHANCEMENT
The subordination of the junior notes and the cash reserve provides credit enhancement to the Class A Notes. As of the December 2022 payment date, credit enhancement to the Class A Notes was 88.7%, up from 45.0% as of the last annual review. The outstanding balance of the Class A Notes was only EUR 10.9 million, down from the original balance of EUR 395.7 million.
The transaction benefits from a cash reserve that is available to cover senior fees and interest shortfall on the Class A Notes. The cash reserve is also available to clear the principal deficiency ledger. As of the December 2022 payment date, the cash reserve was at its target level of EUR 300,794.36.
Banco Santander SA (Santander) acts as the Spanish account bank for the transaction while the Bank of New York Mellon SA/NV - Milan Branch (BNYM-Milan) acts as the Italian account bank. Based on DBRS Morningstar’s account bank reference rating of A (high) on Santander (which is one notch below DBRS Morningstar’s Long Term Critical Obligations Rating (COR) on Santander of AA (low)), DBRS Morningstar’s public Long-Term Senior Debt rating on BNYM-Milan of AA (high), the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account banks to be consistent with the rating assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
Santander also acts as the swap counterparty for the transaction. DBRS Morningstar's Long Term COR of AA (low) on Santander is above the first rating threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 3.9% and 82.6%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf).
