DBRS Morningstar Upgrades and Confirms Credit Ratings on Elvet Mortgages 2021-1 plc

DBRS Ratings Limited (DBRS Morningstar) took the following credit rating actions on the Rated Notes issued by Elvet Mortgages 2021-1 plc (the Issuer):

-- Class A notes confirmed at AAA (sf)
-- Class B notes confirmed at AAA (sf)
-- Class C notes upgraded to AAA (sf) from AA (high) (sf)
-- Class D notes upgraded to AA (high) (sf) from A (high) (sf)
-- Class E notes upgraded to AA (low) (sf) from A (low) (sf)

The credit ratings on the Class A, Class B, and Class C notes address the timely payment of interest and the ultimate repayment of principal on or before the legal final maturity date. The credit ratings on the Class D and Class E notes address the ultimate payment of interest and principal on or before the legal final maturity date while they are the junior-most class of notes outstanding, and the timely payment of interest when they are the senior-most class of notes outstanding.

The upgrades and confirmations follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the October 2023 payment date.
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the notes to cover the expected losses at their respective credit rating levels.

The transaction is a securitisation of first-lien owner-occupied residential mortgages originated and serviced by Atom Bank plc (Atom Bank), secured by residential properties located in the United Kingdom.

PORTFOLIO PERFORMANCE
As of 30 September 2023, loans two to three months in arrears represented 0.0% of the outstanding portfolio balance, stable since one year prior. Loans more than three months in arrears represented 0.2%, up from 0.0% a year prior. The cumulative default ratio was 0.0%.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions at the B (sf) credit rating level to 1.4% and 5.8%, respectively.

CREDIT ENHANCEMENT
Credit enhancement to the Rated Notes is provided by the subordination of the junior notes and a general reserve fund. As of the October 2023 payment date, credit enhancement to the Rated Notes had increased from the DBRS Morningstar Initial Rating as follows:
-- Class A notes: 27.5%, up from 9.8%;
-- Class B notes: 18.3%, up from 6.5%;
-- Class C notes: 10.6%, up from 3.8%;
-- Class D notes: 4.9%, up from 1.8%; and
-- Class E notes: 2.8%, up from 1.0%.

The transaction benefits from a liquidity reserve fund of GBP 2 million, equal to 1.5% of the outstanding portfolio balance, which is available to cover shortfalls in senior fees and interest payments on the Class A and Class B notes.

The transaction also benefits from a general reserve fund of GBP 3.5 million, equal to 1.5% of the initial portfolio balance minus the liquidity reserve amount. The general reserve is available to cover shortfalls in senior fees and interest payments on the Class A to Class E notes, as well as principal losses on the Class A to Class E notes via the principal deficiency ledgers.

Citibank N.A./London Branch acts as the account bank for the transaction. Based on the DBRS Morningstar private credit rating of Citibank N.A./London Branch, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the credit ratings assigned to the Class A, Class B, and Class C notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

NatWest Markets Plc acts as the swap counterparty for the transaction. DBRS Morningstar's public Long-Term Critical Obligations Rating of NatWest Markets Plc at AA (low) is consistent with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar’s credit ratings on the notes address the credit risk associated with the identified financial obligations in accordance with the relevant transaction documents.

DBRS Morningstar’s credit ratings on the notes also address the credit risk associated with the increased rate of interest applicable to the notes if the notes are not redeemed on the Optional Redemption Date (as defined in and) in accordance with the applicable transaction documents.

DBRS Morningstar’s credit ratings do not address non-payment risk associated with contractual payment obligations contemplated in the applicable transaction documents that are not financial obligations.

DBRS Morningstar’s long-term credit ratings provide opinions on risk of default. DBRS Morningstar considers risk of default to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the terms under which a long-term obligation has been issued.

ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant effect on the credit analysis.

At the time of the initial credit ratings, DBRS Morningstar was supplied with third-party assessments. However, this did not impact the credit rating analysis.

The last credit rating action on this transaction took place on 19 December 2022, when DBRS Morningstar confirmed its AAA (sf) credit rating on the Class A notes, upgraded its credit ratings on the Class B, Class C, Class D, and Class E notes to AAA (sf), AA (high) (sf), A (high) (sf), and A (low) (sf), respectively, and removed the Under Review with Positive Implications status on the Class B, Class C, Class D, and Class E notes following the finalisation of DBRS Morningstar’s “European RMBS Insight: UK Addendum” methodology.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the credit ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the credit ratings (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer at the B (sf) credit rating level are 1.4% and 5.8%, respectively.
-- The risk sensitivity overview below illustrates the credit ratings expected if the PD and LGD increase by a certain percentage over the base case assumption.
