Morningstar DBRS Confirms AA (low) Credit Ratings on Unione di Banche Italiane S.p.A. Covered Bonds (OBG - Mortgages - Programme 1)
Covered BondsDBRS Ratings GmbH (Morningstar DBRS) confirmed its credit ratings on the Obbligazioni Bancarie Garantite (OBG; the Italian legislative covered bonds) issued under the Unione di Banche Italiane S.p.A. Covered Bonds Programme 1 (UBI OBG1 or the Programme). This rating action follows the completion of a full review of the ratings.
Concurrently, Morningstar DBRS discontinued its credit ratings on Series 14 (ISIN: IT0004992878) and Series 24 (tranches 1 and 2) (ISIN: IT0005320673), which matured in February 2024 and July 2024, respectively.
As of today, the series of OBG outstanding under the Programme, guaranteed by UBI Finance S.r.l., amounted to EUR 4.7 billion.
The credit ratings are based on the following analytical considerations:
-- A Covered Bonds Attachment Point (CBAP) of `A', which is Intesa Sanpaolo (ISP)'s Long Term Critical Obligations Rating. ISP is the Issuer and Reference Entity (RE) for the Programme.
-- A Legal and Structuring Framework (LSF) Assessment of "Adequate" associated with the Programme.
-- A Cover Pool Credit Assessment (CPCA) of BBB (low), which is the lowest CPCA in line with the LSF-Implied Likelihood (LSF-L).
-- An LSF-L of A (high).
-- A one-notch uplift on the LSF-L for high recovery prospects.
-- A level of overcollateralisation (OC) of 21.0% to which Morningstar DBRS gives credit, which is the minimum level observed in the last 12 months adjusted by a scaling factor of 0.85. ISP commits to a level of OC of 13.0%.
-- The sovereign rating of the Republic of Italy, rated BBB (high) with a Stable trend by Morningstar DBRS, as of the date of this press release.
Morningstar DBRS analysed the transaction with its European Covered Bond Cash Flow Tool. The main assumptions focused on the timing of defaults and recoveries of the assets, interest rate stresses, and market value spreads to calculate liquidation values on the CP. Morningstar DBRS assumed several prepayment scenarios, starting from the observed prepayment rate.
Everything else being equal, a one-notch downgrade of the CBAP would lead to a one-notch downgrade of the LSF-L, resulting in a one-notch downgrade of the covered bonds rating. In addition, all else unchanged, the CB ratings would be downgraded if any of the following occurred: (1) the CPCA was downgraded below BBB (low); (2) the quality of the CP and the level of OC were no longer sufficient to support a one-notch uplift for high recovery prospects; (3) the relative amortisation profile of the CB and CP moved adversely; or (4) volatility in the financial markets caused the currently estimated market value spreads to increase.
Intesa Sanpaolo acts as the account bank, which also holds the reserve account. Based on the credit ratings on ISP and on the account bank's replacement provisions included in the documentation, Morningstar DBRS considers the risk of such counterparty to be consistent with the ratings assigned, in accordance with its "Legal Criteria for European Structured Finance Transactions" methodology.
The total outstanding amount of OBG is EUR 4.7 billion as of the date of this press release. The total outstanding amount of OCG was EUR 5.45 billion as of 30 June 2024 (the cut-off date), while the aggregate balance of the CP was EUR 6.9 billion of residential mortgages plus EUR 1.1 billion of cash collections, resulting in a total OC of 46.3%.
As of the cut-off date, the CP comprised 102,585 first-ranking residential mortgages, mainly originated by network banks of the Unione di Banche Italiane S.p.A. group.
The weighted-average (WA) indexed current loan-to-value ratio of the mortgages was 44.3% with a seasoning of 11.3 years. The CP was mainly distributed in the Italian regions of Lombardy (36.6% by outstanding balance) and Lazio (17.4%).
The CP comprised fixed-rate loans (49.7%) and floating-rate loans (50.3%), the former of which includes mixed loans as well as optional loans currently featuring a fixed-rate coupon. The floating-rate mortgage loans are indexed to different plain-vanilla bases and reset at different dates.
In comparison, as of the cut-off date, 96.3% of the liabilities pay a fixed rate and 3.7% pay a floating rate linked to three-month Euribor. The resulting interest and basis risks are unhedged. Morningstar DBRS considered this in its cash flow analysis.
All CP assets and OBG are denominated in euros. As such, investors are not currently exposed to any foreign-exchange risk.
As of the cut-off date, The WA life (WAL) of the CP was 8.5 years whereas the WAL of the OBG was 2.5 years. The resulting asset-liability maturity mismatch is mitigated by the 12-month maturity extension in case of an Issuer event of default and by the OC.

Morningstar DBRS' long-term credit ratings provide opinions on risk of default. Morningstar DBRS considers risk of default to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the terms under which a long-term obligation has been issued.
ENVIRONMENTAL, SOCIAL, AND GOVERNANCE CONSIDERATIONS
Credit rating actions on both the Issuer and the Republic of Italy (the Sovereign) are likely to have an impact on this credit rating. The Social and Governance factors impact the Programme as the ESG factors for the Issuer and the Sovereign are passed-through to the rated bonds issued under the Programme given that the covered bonds' credit ratings would be impacted by changes of the credit ratings of the Issuer and/or the Sovereign.
There were no Environmental factors that had a significant or relevant effect on the credit analysis.
