Morningstar DBRS Confirms Credit Ratings on Bavarian Sky S.A., acting in respect of its Compartment German Auto Leases 8
AutoDBRS Ratings GmbH (Morningstar DBRS) confirmed its credit rating on the Class A Notes issued by Bavarian Sky S.A., acting in respect of its Compartment German Auto Leases 8 (the Issuer).
The credit rating on the Class A Notes addresses the timely payment of scheduled interest and the ultimate repayment of principal by the legal maturity date in November 2031.
CREDIT RATING RATIONALE
The confirmation follows an annual review of the transaction and is based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of September 2024 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- No Revolving Period Termination Events have occurred; and
-- Current available credit enhancement to the Class A Notes to cover the expected losses at the AAA (sf) credit rating level.
The transaction is a securitisation of receivables related to auto leases granted by BMW Bank GmbH (BMW Bank), a wholly owned subsidiary of BMW AG to commercial and private lessees incorporated or resident in the Federal Republic of Germany. The underlying motor vehicles related to the auto leases consist of both new and used vehicles and motorbikes. BMW Bank also services the receivables. The transaction closed in November 2023 and included an initial 12-month revolving period which is scheduled to end on the November 2024 payment date, during which the Issuer has the option to purchase additional receivables, provided that certain conditions set out in the transaction documents are satisfied.
PORTFOLIO PERFORMANCE
As of the September 2024 payment date, loans that were one to two months and two to three months delinquent represented 0.11% and 0.06% of the portfolio balance, respectively, while loans more than three months delinquent represented 0.15%. Gross cumulative defaults amounted to 0.15% of the aggregate original and subsequent portfolios, 1.21% of which have been recovered to date.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
Morningstar DBRS conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD assumption to 1.36% from 1.39% and maintained its LGD assumption at 10.0%.
CREDIT ENHANCEMENT
The subordination of the Class B Notes provides credit enhancement to the Class A Notes. As of the September 2024 payment date, credit enhancement to the Class A Notes was 7.4%, stable since closing due to the revolving period.
The transaction benefits from a non-amortising cash reserve, which was fully funded at closing. The cash reserve has a target balance equal to 1.1% of the discounted outstanding lease balance at closing and is available to cover senior fees, senior net interest rate swap payments, and interest on the Class A Notes. In certain scenarios, the cash reserve also ultimately provides credit enhancement to the Class A Notes. The cash reserve is at its target level as of the September 2024 payment date.
The Bank of New York Mellon, Frankfurt Branch (BONY-FB) acts as the account bank for the transaction. Based on Morningstar DBRS' private credit rating on BONY-FB, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, Morningstar DBRS considers the risk arising from the exposure to BONY-FB to be consistent with the credit rating on the Class A Notes, as described in Morningstar DBRS' "Legal Criteria for European Structured Finance Transactions" methodology.
Skandinaviska Enskilda Banken AB (publ) (SEB) acts as the swap counterparty for the transaction. Morningstar DBRS' Long-Term Critical Obligations Rating of AA (high) on SEB is consistent with the first credit rating threshold as described in Morningstar DBRS' "Derivative Criteria for European Structured Finance Transactions" methodology.
Morningstar DBRS' credit ratings on the applicable classes address the credit risk associated with the identified financial obligations in accordance with the relevant transaction documents. Where applicable, a description of these financial obligations can be found in the transactions' respective press releases at issuance.
Morningstar DBRS' long-term credit ratings provide opinions on risk of default. Morningstar DBRS considers risk of default to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the terms under which a long-term obligation has been issued.
ENVIRONMENTAL, SOCIAL, AND GOVERNANCE CONSIDERATIONS

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the credit rating, Morningstar DBRS considered the following stress scenarios as compared with the parameters used to determine the credit rating (the base case):
-- Morningstar DBRS expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 1.36% and 10.0% respectively.
-- The Risk Sensitivity overview below illustrates the credit ratings expected if the PD and LGD increase by a certain percentage over the base case assumption.
