Morningstar DBRS Confirms Credit Ratings on Prinsen Mortgage Finance No. 1 B.V.

DBRS Ratings GmbH (Morningstar DBRS) confirmed its credit ratings on the notes issued by Prinsen Mortgage Finance No. 1 B.V. (the Issuer) as follows:

-- Class A notes at AAA (sf)
-- Class B notes at AA (sf)
-- Class C notes at A (sf)

The credit rating on the Class A notes addresses the timely payment of interest and the ultimate repayment of principal on or before the legal final maturity date in December 2070. The credit ratings on the Class B and Class C notes address the timely payment of interest when they are the senior-most class of notes outstanding, and the ultimate repayment of principal by the legal final maturity date.

The confirmations follow an annual review of the transaction and are based on the following analytical considerations:

-- Portfolio performance, in terms of delinquencies, defaults, and losses as of the March 2025 payment date.
-- Portfolio default rate (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables, and
-- Current available credit enhancement to the rated notes to cover the expected losses at their respective credit rating levels.

The transaction represents the issuance of notes backed by first-lien mortgage loans granted by Fenerantis B.V. to borrowers residing in the Netherlands. The loans are secured by owner-occupied properties located in the Netherlands. Fenerantis B.V. also acts as the servicer of the portfolio with Adaxio B.V. as its subcontractor.

PORTFOLIO PERFORMANCE
As of the March 2025 payment date, there were no loans in arrears, nor were there any defaults or losses reported.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
Morningstar DBRS conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions, corresponding to the B (sf) credit rating level, to 0.5% and 10.3%, respectively.

CREDIT ENHANCEMENT
Credit enhancement to the rated notes is provided by the subordination of the junior notes, reserve fund, and excess spread. As of the March 2025 payment date, credit enhancement to the Class A, Class B, and Class C notes was 3.7%, 1.7%, and 0.0%, respectively.

The transaction benefits from a nonamortising general reserve fund of EUR 2,625,000, which is split into a credit reserve fund (CRF) and a liquidity reserve fund (LRF). The CRF was funded at closing with 0.75% of the Class A, Class B, and Class C notes' initial balance minus the LRF and is available to pay senior fees and expenses, interest shortfalls, and PDLs on the Class A, Class B, and Class C notes. The LRF is available to pay senior fees and expenses, as well as interest shortfalls on the Class A and Class B notes. The LRF was funded at closing through the issuance of the notes and was sized at 0.75% of the Class A and Class B notes' outstanding balance. The LRF will amortise in line with the Class A and Class B notes' outstanding balances with a minimum required amount of EUR 200,000.

ABN AMRO Bank N.V. acts as the account bank for the transaction. Based on the ABN AMRO Bank N.V.'s reference credit rating of AA (low), which is one notch below its Morningstar DBRS Long-Term Critical Obligations Rating (COR) of AA, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, Morningstar DBRS considers the risk arising from the exposure to the account bank to be consistent with the credit rating assigned to the notes, as described in Morningstar DBRS' "Legal and Derivative Criteria for European Structured Finance Transactions" methodology.

BNP Paribas SA (BNPP) acts as the interest rate cap counterparty for this transaction. Morningstar DBRS' Long-Term COR of AA (high) on BNPP is consistent with the first rating threshold as described in Morningstar DBRS' "Legal and Derivative Criteria for European Structured Finance Transactions" methodology.

Morningstar DBRS' credit ratings on the notes address the credit risk associated with the identified financial obligations in accordance with the relevant transaction documents. Where applicable, a description of these financial obligations can be found in the transaction press release at issuance.

Morningstar DBRS' credit ratings on the notes do not address the credit risk associated with the increased rate of interest applicable to the notes if the notes are not redeemed on the First Optional Redemption Date (as defined in and) in accordance with the applicable transaction documents.

Morningstar DBRS' long-term credit ratings provide opinions on risk of default. Morningstar DBRS considers risk of defaults to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the term under which a long-term obligation has been issued.

ENVIRONMENTAL, SOCIAL, AND GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant effect on the credit analysis.

A review of the transaction legal documents was not conducted as the legal documents have remained unchanged since the most recent credit rating action.

The sources of data and information used for these credit ratings include investor reports provided by Intertrust Administrative Services B.V., and loan-level data provided by the European DataWarehouse GmbH.

Morningstar DBRS did not rely upon third-party due diligence in order to conduct its analysis.

At the time of the initial credit ratings, Morningstar DBRS was supplied with third-party assessments. However, this did not impact the credit rating analysis.

The last credit rating action on this transaction took place on 26 April 2024, when Morningstar DBRS confirmed its credit ratings of AAA (sf), AA (sf), and A (sf) on the Class A, Class B, and Class C notes, respectively.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the credit ratings, Morningstar DBRS considered the following stress scenarios as compared with the parameters used to determine the credit ratings (the base case):

-- Morningstar DBRS expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 0.5% and 10.3%, respectively.
