DBRS Morningstar Confirms Ratings of Tower Bridge Funding No. 1 PLC
RMBSDBRS Ratings Limited (DBRS Morningstar) confirmed the ratings of the notes issued by Tower Bridge Funding No. 1 PLC (the Issuer) as follows:
-- Class A at AAA (sf)
-- Class B at AA (high) (sf)
-- Class C at A (high) (sf)
-- Class D at BBB (sf)
-- Class E at BB (high) (sf)
The ratings on the Class A, Class B, Class C, Class D and Class E notes (together, the Rated Notes) address the timely payment of interest and ultimate payment of principal on or before the legal final maturity date.
The rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults and losses.
-- Portfolio default rate (PD), loss given default (LGD) and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels.
The Issuer is a securitisation of mortgage loans originated by Belmont Green Finance Limited (BGFL), a specialist UK mortgage lender that offers a full suite of mortgage products including owner-occupied, buy-to-let, adverse-credit-history and interest-only loans. The securitised mortgage portfolio comprises newly originated first-lien home loans, originated by BGFL through its Vida Homeloans brand. BGFL is the named mortgage portfolio servicer but delegates its day-to-day servicing activities to Homeloan Management Limited.
PORTFOLIO PERFORMANCE
As of September 2019, the 90+ delinquency ratio was 0.4%, up from 0.3% in September 2018. The cumulative loss ratio was zero.
PORTFOLIO ASSUMPTIONS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions to 10.8% and 21.3%, respectively.
CREDIT ENHANCEMENT
As of the September 2019 payment date, credit enhancement to the Class A, B, C, D and E Notes was 26.0%, 18.7%, 12.7%, 8.1% and 5.4%, respectively, up from 19.8%, 14.1%, 9.6%, 6.0% and 3.9%, respectively, 12 months prior.
Credit enhancement is provided by subordination of junior classes and the general reserve fund.
The transaction benefits from a liquidity reserve fund of GBP 2.6 million and a reserve fund of GBP 5.8 million. The liquidity reserve fund covers senior fees and interest on the Class A and Class B notes, while the general reserve fund covers senior fees, interest and principal (via the principal deficiency ledgers) on the Rated Notes.
Elavon Financial Services DAC, U.K. Branch acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of Elavon Financial Services DAC, UK Branch, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
NatWest Markets Plc acts as the swap counterparty for the transaction. DBRS Morningstar's public Long-Term Critical Obligations Rating of NatWest Markets Plc at “A” is in line with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 10.8% and 21.3%, respectively.
-- The Risk Sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A notes would be expected to fall to AA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A notes would be expected to fall to AA (low) (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A notes would be expected to fall to A (sf).
