DBRS Morningstar Upgrades and Confirms Ratings on Cartesian Residential Mortgages 5 S.A.

DBRS Ratings GmbH (DBRS Morningstar) took the following rating actions on the notes issued by Cartesian Residential Mortgages 5 S.A. (the Issuer):

-- Class A Notes confirmed at AAA (sf)
-- Class B Notes upgraded to AA (high) (sf) from AA (sf)
-- Class C Notes upgraded to A (high) (sf) from A (sf)
-- Class D Notes upgraded to A (sf) from BBB (high) (sf)

DBRS Morningstar also removed the ratings on the Class B, Class C, and Class D Notes from Under Review with Positive Implications, where they were placed on 4 May 2021. The rating of the Class A Notes addresses the timely payment of interest and the ultimate repayment of principal by the legal final maturity date in November 2055. The rating of the Class B Notes addresses the timely payment of interest when most senior and the ultimate payment of principal. The ratings of the Class C and Class D Notes address the ultimate payment of interest and principal.

The rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the May 2021 payment date;
-- Portfolio default rate (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels;
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic; and
-- The update to the “European RMBS Insight: Dutch Addendum” methodology and corresponding European RMBS Insight Model.

The Issuer is a static securitisation of prime Dutch residential mortgage loans granted by Venn Hypotheken B.V. in the Netherlands. The portfolio is serviced by Venn Hypotheken B.V.; however, primary servicing responsibilities were delegated to Stater Nederland B.V. and special servicing responsibilities were delegated to HypoCasso B.V. The transaction closed in September 2020.

PORTFOLIO PERFORMANCE
As of May 2021, loans two to three months in arrears and loans more than three months in arrears both represented 0.0% of the outstanding portfolio balance. As of May 2021, the cumulative default ratio was 0.0%.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions to 2.8% and 11.9% from 2.9% and 18.3%, respectively, following the update to the “European RMBS Insight: Dutch Addendum” and corresponding European Asset RMBS Insight Model.

CREDIT ENHANCEMENT
As of the May 2021 payment date, credit enhancement to the Class A, Class B, Class C, and Class D Notes was 10.7%, 7.8%, 4.7%, and 3.9%, respectively, up from 10.4%, 6.3%, 4.5% and 3.8%, respectively, at closing.

The transaction benefits from a reserve fund of EUR 4.7 million. The entire reserve fund is available to cover senior fees, senior swap payments, interest shortfalls on the Class A and Class B Notes, and the Class A principal deficiency ledger (PDL) before being replenished to its first target level (1.3% of the outstanding Class A and Class B Notes). The remaining reserve balance is available to cover interest shortfalls on the Class C and Class D Notes in addition to the PDLs on the Class B, Class C, and Class D Notes before being replenished to its second target level (1.6% of the outstanding Class A to Class E Notes, subject to a floor of 80% of the second target level at closing).

Citibank Europe plc – Luxembourg Branch (Citibank) act as the Issuer Account Bank for the transaction. Based on DBRS Morningstar’s private rating on Citibank, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

BNP Paribas SA acts as the swap counterparty for the transaction. DBRS Morningstar's public Long Term Critical Obligations Rating on BNP Paribas SA at AA (high) is consistent with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading in some cases to increases in unemployment rates and income reductions for borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many structured finance transactions, some meaningfully. The ratings are based on additional analysis and, where appropriate, adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus.

For this transaction, DBRS Morningstar incorporated an increase in PD for self-employed borrowers and conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand potential high levels of payment holidays in the portfolio.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 2.8% and 11.9%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to fall to AA (low) (sf).
