DBRS Morningstar Confirms Ratings on Bumper BE NV/SA, acting on behalf of its Compartment No. 1
AutoDBRS Ratings GmbH (DBRS Morningstar) confirmed its ratings on the Class A and Class B Notes issued by Bumper BE NV/SA, acting on behalf of its Compartment No. 1 (the Issuer) at AAA (sf) and AA (sf), respectively.
The ratings on the Class A and Class B Notes address the timely payment of interest and the ultimate repayment of principal by the legal final maturity date in October 2031.
The confirmations follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the August 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the Class A and Class B Notes to cover the expected losses at their respective rating levels; and
-- No revolving termination event so far.
The transaction is a securitisation of lease receivables and residual value (RV) receivables related to auto lease agreements granted and serviced by LeasePlan Fleet Management NV/SA, Lease Plan Truck NV/SA, and LeasePlan Partnerships & Alliances NV/SA (collectively, the sellers or LPBE), as applicable, to corporate, small and medium-sized enterprise, and public-sector lessees in the Kingdom of Belgium.
The transaction incorporates a one-year revolving period scheduled to end in October 2022, during which LPBE may sell additional lease instalments and their related RV receivables, subject to eligibility criteria, replenishment criteria, performance triggers, and other conditions set out in the transaction documents. The revolving period may end earlier than scheduled if certain events occur, such as a breach of performance triggers or LPBE’s insolvency. As of the August 2022 payment date, all criteria were met and none of the performance triggers were breached.
PORTFOLIO PERFORMANCE
As of the August 2022 payment date, loans that were two to three months in arrears represented 0.5% of the outstanding portfolio balance, up from 0.0% at closing one year ago, while the 90+ days delinquency ratio increased to 0.4%, up from 0.2%. The cumulative default ratio increased to 0.2% in the same period.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted an analysis of the current pool of receivables and updated its base case PD assumption to 1.5%, down from 2.1% at closing, and maintained its base case LGD assumption at 25.0%. The improved PD assumption results from DBRS Morningstar’s use of the current portfolio composition, given the end of the revolving period scheduled in October 2022.
CREDIT ENHANCEMENT
The credit enhancement to the rated notes is provided by the subordination of junior notes and the reserve fund. As of the August 2022 payment date, the credit enhancements to the Class A and Class B Notes remained unchanged from closing at 25.9% and 21.1%, respectively, because the transaction is in the revolving period.
An amortising liquidity reserve, equal to 0.5% of the Class A and Class B Notes’ outstanding balance, is available to cover senior expenses, the interest swap payment, and interest on the notes during both the revolving and normal amortisation periods. The amortisation of the liquidity reserve is subject to a floor of EUR 2.0 million. It can ultimately be used to repay principal on the notes according to the relevant priority of payments when the aggregate discounted portfolio balance reaches zero.
BNP Paribas Fortis SA/NV (BNPPF) acts as the Issuer’s account bank for the transaction. Based on DBRS Morningstar’s private rating on BNPPF, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
ING Bank N.V. (ING Bank) acts as the swap counterparty in this transaction. ING Bank’s DBRS Morningstar Long Term Critical Obligations Rating of AA (high) is above the first rating threshold as described in DBRS Morningstar’s “Derivative Criteria for European Structured Finance Transactions” methodology.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant impact on the credit analysis.

Sensitivity analysis: to assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 1.5% and 25.0%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to fall to AA (sf).
