DBRS Morningstar Confirms Credit Ratings on B-Arena NV/SA, Compartment N°5
RMBSDBRS Ratings GmbH (DBRS Morningstar) confirmed its credit ratings on the notes issued by B-Arena NV/SA, Compartment N°5 (the Issuer):
-- Class A1 Notes at AAA (sf)
-- Class A2 Notes at AAA (sf)
The credit ratings on the Class A1 Notes and Class A2 Notes (together, the Notes) address the timely payment of interest and ultimate payment of principal on or before the legal final maturity date in January 2057.
The credit rating confirmations follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses as of the October 2023 payment date.
-- Portfolio default rate (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the Notes to cover the expected losses at their respective rating levels.
The transaction is a securitisation of first-ranking Belgian residential mortgages offered to prime borrowers. The mortgages were originated and serviced by Bank Nagelmackers S.A. The transaction closed in January 2023. Following the First Optional Redemption Date in January 2028, the margin on the Notes will increase by a factor of 1.5, although the interest on the Notes will be capped at 4%.
PORTFOLIO PERFORMANCE
As of the October 2023 payment date, no loans were two to three months in arrears. Loans more than three months in arrears represented 0.01% of the initial portfolio balance. No loan defaults have been reported since the closing of the transaction.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions to 3.9% and 12.8%, respectively.
CREDIT ENHANCEMENT
The subordination of the Class B subordinated loan and the cash reserve provides credit enhancement to the Notes. As of the October 2023 payment date, credit enhancement to the Notes increased to 17.9%, up from 16.5% at the time of closing.
The transaction benefits from a nonamortising cash reserve funded through the issuance of the Class C notes, which is available to cover senior fees, expenses, and the interest due on the Notes. As the reserve is replenished after the Class A Notes’ principal deficiency ledger is credited in the interest priority of payments, it provides credit support to the Notes. The cash reserve has remained at its target of EUR 15.0 million since closing. The transaction additionally benefits from a EUR 14.0 million liquidity facility provided by Belfius, equal to 1.8% of the Notes’ balance. The Issuer can draw on the liquidity facility to meet any shortfalls of senior fees or interest on the Notes.
Belfius acts as the account bank and the interest rate cap provider for the transaction. Based on the reference rating of Belfius at A (high) (which is one notch below DBRS Morningstar’s Long Term Critical Obligations Rating of AA (low) on Belfius), the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
Regarding Belfius’ capacity as cap provider, DBRS Morningstar’s rating on Belfius is consistent with the first rating threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
DBRS Morningstar’s credit ratings on the Notes address the credit risk associated with the identified financial obligations in accordance with the relevant transaction documents.
DBRS Morningstar’s credit ratings on the Notes also address the credit risk associated with the increased rate of interest applicable to the Notes if the Notes are not redeemed on the Optional Redemption Date (as defined in and) in accordance with the applicable transaction documents.
DBRS Morningstar’s credit ratings do not address non-payment risk associated with contractual payment obligations contemplated in the applicable transaction documents that are not financial obligations.
DBRS Morningstar’s long-term credit ratings provide opinions on risk of default. DBRS Morningstar considers risk of default to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the terms under which a long-term obligation has been issued.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant effect on the credit analysis.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the credit rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the credit rating (the Base Case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer at the B (sf) credit rating level are 3.9% and 12.8%, respectively.
-- The risk sensitivity overview below illustrates the credit ratings expected if the PD and LGD increase by a certain percentage over the base case assumption.
