Morningstar DBRS Confirms Credit Rating on BPCE Demeter Tria FCT

DBRS Ratings GmbH (Morningstar DBRS) confirmed its AAA (sf) credit rating on the Class A Notes issued by BPCE Demeter Tria FCT (the Issuer).

The credit rating addresses the timely payment of interest and the ultimate repayment of principal by the legal final maturity date in September 2041.

The credit rating confirmation follows an annual review of the transaction and is based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses as of the August 2024 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the revolving pool of receivables;
-- No early amortisation events have occurred so far; and
-- Current available credit enhancement to the Class A Notes to cover the expected losses at AAA (sf) credit rating level.

The transaction represents the issuance of Class A and Class B Notes ultimately backed by a pool of fixed-rate, unsecured, and amortising consumer loans granted to individuals domiciled in France by the participating affiliate banks of BPCE Group. The transaction had an initial 24-month of revolving period which was scheduled to end with the July 2023 payment date but was extended until October 2025 following the amendment.

PORTFOLIO PERFORMANCE
As of the August 2024 payment date, no loans were in arrears or defaults, in line with the eligibility criteria during the revolving period.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
Morningstar DBRS conducted an analysis of the revolving pool of receivables and maintained its base case PD and LGD assumptions at 3.25% and 60.5%, respectively.

CREDIT ENHANCEMENT
Credit enhancement to the Class A Notes is provided by the subordination of the unrated Class B Notes. As of the August 2024 payment date, the credit enhancements to the Class A Notes remained at 24.5%, due to the revolving period.

The transaction benefits from a liquidity reserve fund which equals to 1.05% of the Class A Notes' balance subject to a floor of EUR 500,000. As of the August 2024 payment date, the reserve fund was at its initial levels of EUR 7,875,000, due to the revolving period.

A commingling reserve facility is expected to be available to the Issuer if BPCE S.A. is downgraded below BBB. The required amount is equal to two months of expected principal, interest, and prepayment collections.

BPCE S.A. acts as the account bank for the Issuer. Based on Morningstar DBRS' private credit rating of BPCE S.A., the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, Morningstar DBRS considers the risk arising from the exposure to the account bank to be consistent with the credit rating assigned to the Class A Notes, as described in Morningstar DBRS' "Legal Criteria for European Structured Finance Transactions" methodology.

Natixis acts as the swap counterparty for the Issuer. Morningstar DBRS' private credit rating of Natixis is consistent with the first rating threshold as described in Morningstar DBRS' "Derivative Criteria for European Structured Finance Transactions" methodology.

Morningstar DBRS' credit ratings on the applicable classes address the credit risk associated with the identified financial obligations in accordance with the relevant transaction documents. Where applicable, a description of these financial obligations can be found in the transactions' respective press releases at issuance.

Morningstar DBRS' long-term credit ratings provide opinions on risk of default. Morningstar DBRS considers risk of default to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the terms under which a long-term obligation has been issued.

ENVIRONMENTAL, SOCIAL, AND GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant effect on the credit analysis.

Morningstar DBRS has applied the principal methodology consistently and conducted a review of the transaction in accordance with the principal methodology.

An asset and a cash flow analysis were both conducted. Due to the inclusion of a revolving period in the transaction, the analysis continues to consider potential portfolio migration based on replenishment criteria set forth in the transaction legal documents.

A review of the transaction legal documents was not conducted as the legal documents have remained unchanged since the most recent credit rating action.

The source of data and information used for this credit rating includes investor reports provided by Eurotitrisation, which acts as the Management Company, and loan-level data provided by the European DataWarehouse GmbH.

Morningstar DBRS did not rely upon third-party due diligence in order to conduct its analysis.

At the time of the initial credit rating, Morningstar DBRS was supplied with third-party assessments. However, this did not impact the credit rating analysis.

Morningstar DBRS considers the data and information available to it for the purpose of providing this credit rating to be of satisfactory quality.

The last credit rating action took place on 24 October 2023, when Morningstar DBRS confirmed its AAA (sf) credit rating on the Class A Notes following amendment.

Sensitivity Analysis: to assess the impact of changing the transaction parameters on the credit rating, Morningstar DBRS considered the following stress scenarios as compared with the parameters used to determine the credit rating (the base case):
-- Morningstar DBRS expected a base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the revolving pool of loans for the Issuer are 3.25% and 60.5%, respectively.
-- The risk sensitivity overview below illustrates the credit rating expected if the PD and LGD increase by a certain percentage over the base case assumption.
