DBRS Morningstar Upgrades and Confirms Ratings on Globaldrive Auto Receivables 2018-A B.V.

DBRS Ratings GmbH (DBRS Morningstar) took the following rating actions on the Class A and Class B Notes (together, the Notes) issued by Globaldrive Auto Receivables 2018-A B.V. (the Issuer):

-- Class A Notes confirmed at AAA (sf)
-- Class B Notes upgraded to AAA (sf) from AA (high) (sf)

The ratings on the Notes address the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in September 2026.

The rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies and defaults, as of the September 2021 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the receivables;
-- Current available credit enhancement to the rated notes to cover the expected losses assumed at the AAA (sf) rating level; and
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

The transaction is a securitisation of new, used, and ex-demonstration car and light-commercial vehicle loan receivables originated in Germany by FCE Bank plc, German Branch and Ford Bank GmbH. The receivables are serviced by Ford Bank GmbH.

PORTFOLIO PERFORMANCE
As of September 2021, loans two to three month in arrears represented 0.3% of the outstanding portfolio balance and the 90+-day delinquency ratio was 0.5%, both trending up from 0.1% at the last annual review. As of September 2021, the cumulative default ratio was 0.3%.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted an analysis of the current pool of receivables, including additional coronavirus-related adjustments, and maintained its base case PD and LGD assumptions at 0.9% and 82.0%, respectively.

CREDIT ENHANCEMENT
As of the September 2021 payment date, credit enhancement to the Class A Notes was 25.6%, up from 13.5% at the last annual review. Credit enhancement to the Class B Notes was 16.0%, up from 8.4% at the last annual review. The increase in credit enhancement, which is provided by subordination of the junior notes, prompted the upgrade on the Class B Notes.

The transaction benefits from a nonamortising liquidity reserve, currently funded to its target level of EUR 5.8 million. The liquidity reserve is available to cover senior fees, senior swap payments, and interest shortfall on the Notes.

A commingling reserve is also currently funded to its target level of EUR 17.1 million from EUR 16.5 million as of the last annual review. The commingling reserve was scheduled to increase in September 2021, since the repayment of the balloon amounts substantially increases the amount of expected collections following this date, to a maximum of EUR 23 million. The commingling reserve can only be used in the event of the servicer’s insolvency to cover payment disruptions.

HSBC Bank plc acts as the account bank for the transaction. Based on DBRS Morningstar’s private rating on HSBC Bank plc, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

Lloyds Bank Corporate Markets plc acts as the swap counterparty for the transaction. DBRS Morningstar's private rating on Lloyds Bank Corporate Markets plc is consistent with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

On 9 September 2021, the European Court of Justice ruled in relation to certain cases (C-33/20, C-155/20, and C-187/20) addressing the rights of consumers in Germany to revoke their loan contracts. According to the ruling, the absence of certain mandatory information (relating to default interest and prepayment fees) in the contracts is not compliant with the EU Consumer Credit Directive and, as such, the right to revoke extends past the standard 14-day period (i.e., indefinitely). As this ruling may result in economic incentives for borrowers to withdraw from their contracts, it could negatively affect German auto ABS securitisations. DBRS Morningstar is closely monitoring these developments and the impact of the decision on affected transactions. The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an immediate economic contraction, leading in some cases to increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many ABS transactions. The ratings are based on additional analysis to expected performance as a result of the global efforts to contain the spread of the coronavirus.

For this transaction, DBRS Morningstar conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand potentially high payment holiday levels in the portfolio. DBRS Morningstar received confirmation as of 1 October 2021 that the outstanding balance of accounts benefitting from payment holidays is EUR 2.7 million, representing 1.1% of the pool balance.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the base case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer is 0.9% and the base case is 82.0%.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf).
