DBRS Morningstar Upgrades and Confirms Ratings on IM Andbank RMBS 1, Fondo de Titulización

DBRS Ratings GmbH (DBRS Morningstar) took the following rating actions on the notes issued by IM Andbank RMBS 1, Fondo de Titulización (the Issuer):

-- Class A Notes confirmed at AA (high) (sf)
-- Class B Notes confirmed at A (high) (sf)
-- Class C Notes upgraded to BBB (low) (sf) from BB (high) (sf)

The rating on the Class A Notes addresses the timely payment of interest and ultimate repayment of principal on or before the legal final maturity date in June 2056. The ratings on the Class B and C Notes (together with the Class A Notes, the rated notes) address the ultimate payment of interest and repayment of principal on or before the legal final maturity date.

The rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the December 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables; and
-- Current available credit enhancement to the rated notes to cover the expected losses at their respective rating levels.

The Issuer is a securitisation of residential mortgage loans secured over first-lien, owner-occupied properties in Spain, granted and serviced by Andbank España, S.A.U (Andbank). The transaction closed in January 2022 with an initial portfolio of EUR 150.0 million and a revolving period of 12 months, which ended on the December 2022 payment date.

On the December 2022 payment date, the Issuer exercised its option to increase the notes balance through a pro rata tap issuance of additional notes of the existing series in an aggregate amount of EUR 17.7 million, with the proceeds used to fund the acquisition of additional receivables from Andbank, resulting in a portfolio balance of EUR 166.9 million. The Issuer used some of the proceeds to top up the cash reserve to its target balance.

PORTFOLIO PERFORMANCE
As of the December 2022 payment date, there were no loans in arrears or defaulted loans to date.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions to 1.1% and 3.1%, respectively.

CREDIT ENHANCEMENT
The subordination of the respective junior obligations and the cash reserve provide credit enhancement to the rated notes. As of the December 2022 payment date, credit enhancement to the Class A, Class B, and Class C Notes was 12.0%, 8.0%, and 4.5%, respectively, unchanged since DBRS Morningstar’s initial rating due to the revolving period.

The transaction benefits from an amortising reserve fund available to cover senior expenses, interest, and principal payments due on the rated notes. The reserve was funded at closing to EUR 6.75 million through the proceeds of a subordinated loan granted by Andbank. On the December 2022 payment date, following the tap issuance of the rated notes, the reserve was increased to its target balance of EUR 7.5 million. Following the end of the revolving period, the reserve will amortise to the lower of EUR 7.5 million and 9.0% of the outstanding rated notes’ balance, subject to a floor of EUR 3.76 million.

Banco Santander SA (Santander) acts as the account bank for the transaction. Based on DBRS Morningstar’s public Long-Term Issuer Rating of A (high) on Santander, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant impact on the credit analysis.

DBRS Morningstar did not rely upon third-party due diligence in order to conduct its analysis.

At the time of the initial ratings, DBRS Morningstar was supplied with third-party assessments. However, this did not impact the rating analysis.

The last rating action on this transaction took place on 20 January 2022, when DBRS Morningstar finalised its provisional ratings of AA (high) (sf), A (high) (sf), and BB (high) (sf) on the Class A, Class B, and Class C Notes, respectively.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the base case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans are 1.1% and 3.1%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating on the Class A Notes would be expected to fall to AA (low) (sf), ceteris paribus. If the PD increases by 50%, the rating on the Class A Notes would be expected to fall to A (high) (sf), ceteris paribus. Furthermore, if both the PD and LGD increase by 50%, the rating on the Class A Notes would be expected to fall to A (high) (sf).
