DBRS Morningstar Confirms Rating on Penates Funding NV/SA compartment Penates-6
RMBSDBRS Ratings GmbH (DBRS Morningstar) confirmed its AAA (sf) rating on the Class A2 notes issued by Penates Funding NV/SA compartment Penates-6 (the Issuer).
The rating on the Class A2 notes addresses the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in May 2051.
The confirmation follows an annual review of the transaction and is based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the April 2021 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the Class A2 notes to cover the expected losses at the AAA (sf) rating level; and
-- Current economic environment and assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.
The transaction is a static securitisation of first-lien Belgium residential mortgages originated and serviced by Belfius Bank SA/NV (Belfius) or its legal predecessors. The transaction closed in May 2017. Following the First Optional Redemption Date in May 2022, the margin on the Class A2 notes will increase to double their initial level.
PORTFOLIO PERFORMANCE
As of the April 2021 payment date, loans that were 30 to 60 days delinquent represented 0.07% of the outstanding principal balance while loans 60 to 90 days delinquent represented 0.0% of the outstanding principal balance. Gross cumulative defaults amounted to 0.1% of the original principal balance, 43.3% of which have been recovered.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables, and has maintained its base case PD assumption at 1.1% and updated its base case LGD assumption to 10.6%.
CREDIT ENHANCEMENT
The subordination of the Class B notes and the cash reserve provides credit enhancement to the Class A2 notes. As of the April 2021 payment date, credit enhancement to the Class A2 notes increased to 35.2%, up from 28.2% at the time of the last annual review 12 months ago.
The transaction benefits from a nonamortising cash reserve funded through the issuance of the Class C notes, which is available to cover senior fees, expenses, and the interest due on the Class A2 notes. As the reserve is replenished after the Class A notes’ principal deficiency ledger is credited in the interest priority of payments, it provides credit support to the Class A2 notes. The cash reserve has remained at its target of EUR 30.0 million since closing. The transaction additionally benefits from a EUR 145.0 million liquidity facility provided by Belfius, equal to 2.9% of the initial Class A1 and Class A2 notes balance. The Issuer can draw on the liquidity facility to meet any shortfalls of senior fees or interest on the Class A2 notes.
Belfius acts as the account bank and the interest rate cap provider for the transaction. Based on the reference rating of Belfius at A (high) (which is one notch below DBRS Morningstar’s Long Term Critical Obligations Rating of AA (low) on Belfius), the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A2 notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology. In its capacity as cap provider, DBRS Morningstar’s rating on Belfius is consistent with the first rating threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
DBRS Morningstar analysed the transaction structure in Intex DealMaker.
The coronavirus and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many RMBS transactions, some meaningfully. The rating is based on additional analysis and adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus. For this transaction, DBRS Morningstar increased the expected default rate for self-employed borrowers, assumed a moderate decline in residential property prices, and conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand high levels of payment holidays in the portfolio. As of 1 April 2021, loans representing 0.06% of the outstanding pool balance were benefitting from coronavirus-related payment holidays.

To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 1.1% and 10.6%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating on the Class A2 notes would be expected to remain at AAA (sf), ceteris paribus. If the PD increases by 50%, the rating on the Class A2 notes would be expected to remain at AAA (sf), ceteris paribus. Furthermore, if both the PD and LGD increase by 50%, the rating on the Class A2 notes would be remain at AAA (sf).
